This Agreement (“Agreement”) is entered into between:
PlayMotion Kids (owned and operated by Carrie Speed) (“Licensor/Coach”)
and the enrolling participant (“Licensee/Client”).
1. Program Overview
The Licensee is enrolling in the PlayMotion Kids Launch Lab, a 6-month business coaching and licensing program.
This program includes:

Business coaching and strategy
-
Access to PlayMotion Kids™ curriculum frameworks
-
Templates, resources, and training materials
-
Limited, revocable license to use PlayMotion Kids™ branding during the program
2. Grant of License
Licensee is granted a non-exclusive, non-transferable, revocable license to use the PlayMotion Kids™ name, logo, and approved materials for the purpose of operating their own independent children’s enrichment business.
License is:

Valid only during active enrollment (and continued licensing if applicable)

Limited to approved materials and brand guidelines
-
Revocable at any time if terms are violated​

Reserved Territory: Licensor reserves the exclusive right to operate, market, and license the Program within Harris County, Montgomery County, and Galveston County, Texas.
Territorial Restrictions: Licensee agrees not to establish physical class locations, solicit daycare centers, or run targeted advertisements (such as localized social media ads) within these counties.
Inquiries: Any business leads or inquiries received by the Licensee originating from the Reserved Territory must be referred to the Licensor.

3. Independent Business
Licensee understands and agrees that:

They are operating their own independent business

They are responsible for:

Business registration (DBA, LLC, etc.)

Insurance
-
Taxes
-
Contracts and operations
-

PlayMotion Kids does not provide legal or financial advice
4. Coaching Disclaimer
This program provides education, strategy, and support.
Results are not guaranteed.
Success depends on:

Licensee’s effort
-
Implementation
-
Market condition
PlayMotion Kids is not responsible for:
-
Income outcomes
-
Business success or failure
5. Program Fees
Licensee agrees to pay:

$3,000 paid in full
OR -
Payment plan ($550/month for 6 months)
All payments are:
-
Non-refundable (unless otherwise stated)
-
Required to maintain access
Licensee may terminate participation at any time, but payments remain due.
Failure to complete payments may result in:

Removal from program
-
Termination of license
6. Licensing After Program
After the 6-month program, Licensee may:
Continue as a Licensed Partner for:
-
$97/month
OR -
$1,000/year
If Licensee chooses not to continue:
-
All use of PlayMotion Kids™ branding and materials must stop immediately
7. Intellectual Property
All materials are owned by PlayMotion Kids™, including:

Curriculum
-
Branding
-
Templates
-
Training content
Licensee may NOT:
-
Share, sell, or distribute materials
-
Teach others using PlayMotion Kids™ content outside their licensed business
8. Termination
PlayMotion Kids reserves the right to terminate this Agreement and revoke the brand license immediately, without refund, if Licensee:

Fails to make timely program or licensing payments.
-
Misuses PlayMotion Kids™ branding, materials, or intellectual property.
-
Safety & Conduct: Fails to maintain a clear criminal background check, loses eligibility to work in childcare facilities, or acts in a manner that damages the brand’s reputation or poses a risk to the safety of participants.

9. Insurance, Safety, and Indemnification

Background Checks: Licensee is solely responsible for obtaining and maintaining a clear criminal background check (including a check of the National Sex Offender Registry). Licensee must be able to provide proof of clearance to any host facility (e.g., daycares, schools) or to the Licensor upon request.

Liability Insurance: Licensee must maintain appropriate professional liability insurance for their business and classes.

Indemnification: Licensee agrees to indemnify, defend, and hold harmless PlayMotion Kids and Carrie Speed from any and all claims, injuries, damages, or legal actions (including attorney fees) arising from the Licensee’s business operations, teaching conduct, or use of the licensed materials.

10. Independent Business
This is a licensing and coaching relationship only. Licensee is an independent business owner and is not an employee, partner, or franchisee of PlayMotion Kids.

Operational Control: Licensee maintains sole control over their business decisions, including pricing, scheduling, and hiring.

Compliance: Licensee is responsible for following all local, state, and federal laws regarding business registration, taxes, and childcare safety.
11. Acceptance of Terms
By enrolling in the PlayMotion Kids Launch Lab, Licensee agrees to all terms outlined in this Agreement.
